1. Who We Are

Agentic Machines provides AI agents that connect to your ERP, WMS, carrier, and shop systems to deliver demand intelligence, inventory optimization, warehouse management insights, and supplier performance monitoring for supply chain operations.

2. Eligibility

Our Services are intended for business use. By using our Services, you represent that you are authorized to act on behalf of the company or organization you represent and are at least 18 years old.

3. Account Registration and Access

To use our Services, you may need to provide accurate information (name, company, email, etc.) and connect systems such as your ERP, WMS, or e-commerce platform. You are responsible for:

• Maintaining the confidentiality of any account credentials
• Ensuring you have the right and authorization to connect any third-party systems or data sources to our Services
• All activity that occurs through your account

4. How We Use Your Data

Our use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference. In summary:

• We use your data only to generate insights and recommendations for you within the Services.
• We do not sell your data to any third party.
• We do not use your data to train AI or machine learning models, ours or anyone else’s.
• We handle your data in compliance with GDPR and applicable data protection laws.
• We delete your data within 30 days of a verified deletion request.

You retain ownership of your business data. We do not claim ownership over the data you connect to our Services.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable regulation
• Attempt to gain unauthorized access to our systems, other customers’ data, or the underlying AI models
• Reverse-engineer, decompile, or attempt to extract the source code or model logic behind our Services
• Interfere with or disrupt the integrity or performance of our Services
• Use the Services to build a competing product

6. Integrations and Third-Party Systems

Our Services connect to third-party systems (e.g., ERP, WMS, carriers, shop platforms) that you authorize. We are not responsible for the availability, accuracy, or performance of third-party systems. Your use of any third-party integration is subject to that provider’s own terms and policies.

7. Intellectual Property

All rights, title, and interest in the Services, including our software, AI agents, models, algorithms, and website content, belong to Agentic Machines and our licensors. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as intended.

8. AI-Generated Insights — Disclaimer

Our Services provide AI-generated recommendations, forecasts, and alerts to support your operational decisions. These outputs are provided as decision-support tools and:

• Are based on the data connected to your account and may not reflect all relevant business context
• Should not be treated as guaranteed outcomes or replacements for human judgment
• May contain errors or inaccuracies, as with any automated or predictive system

You are responsible for reviewing and validating AI-generated outputs before acting on them, particularly for decisions with significant financial or operational impact.

9. Fees and Payment

If applicable, fees for our Services will be set out in a separate order form, subscription agreement, or invoice. Unless stated otherwise, fees are non-refundable. We reserve the right to change pricing with reasonable advance notice to active customers.

10. Confidentiality

Each party agrees to protect the other’s confidential information with the same degree of care it uses for its own confidential information, and not to disclose it to third parties except as permitted under these Terms or required by law.

11. Termination

We may suspend or terminate your access to the Services if you violate these Terms, or for legitimate business reasons with reasonable notice where practicable. You may stop using the Services and request deletion of your data at any time (see Section 4 and our Privacy Policy).

Upon termination, your right to use the Services ends, and we will handle your data as described in our Privacy Policy, including deletion within 30 days of a verified request.

12. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTIC MACHINES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

14. Indemnification

You agree to indemnify and hold Agentic Machines harmless from any claims, damages, or expenses arising from your misuse of the Services, violation of these Terms, or violation of any third-party rights.

15. Governing Law

Agentic Machines operates through two legal entities:

• Agentic Machines Sweden AB (registration number 559586-8885), registered office in Stockholm kommun, Stockholms län, Sweden, with its address at c/o Embassy House, Östgötagatan 12, 116 25 Stockholm, Sweden (“Agentic Machines Sweden”), contracts with customers located in the European Union, the European Economic Area, the United Kingdom, and all other countries outside the United States.
  
  These Terms, insofar as they apply to customers of Agentic Machines Sweden, are governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or in connection with these Terms, including its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the Swedish courts, with the District Court of Stockholm (Stockholms tingsrätt) as the court of first instance, unless mandatory EU or Swedish consumer protection law provides otherwise.
  
  Nothing in this section limits any mandatory rights you may have as a consumer or data subject under EU law, including the GDPR, which are not waived or restricted by this governing law clause.
  

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated version on this page with a revised “Last Updated” date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
